Property Developer - Tax Efficiency

Property Tax | Development

A property developer sought advice on tax-efficient structuring for a significant development project. The developer had acquired a site with planning permission for residential development and was considering options for maximising post-tax returns.

Property development creates complex tax issues:

Income vs Capital: Development profits are generally treated as income, taxable at up to 45% for individuals or 25% for companies.

VAT: The VAT treatment of property transactions is notoriously complex. New residential property is zero-rated, but commercial property may be exempt or standard-rated depending on whether an option to tax has been made.

SDLT: Stamp duty land tax on the initial acquisition is a significant cost. Various reliefs may be available, including multiple dwellings relief (though this has now been abolished for transactions after June 2024).

Corporate vs Personal: Development can be carried out personally, through a company, or through a joint venture. Each structure has different tax implications.

We advised on the optimal structure for this development:

We analysed the nature of the developer's activities to determine whether the profits would be trading income or capital gains. Given the developer's track record and the nature of the project, we concluded that the profits would likely be trading income.

We compared the tax outcomes of different structures, including personal ownership, a UK trading company, and a corporate joint venture with the landowner. We modelled the effective tax rates under each structure, taking into account profit extraction costs.

We advised on VAT planning, including the recovery of input VAT on construction costs and the VAT treatment of sales.

We reviewed the SDLT position on the original acquisition and advised on claims for available reliefs.

We considered the financing structure, advising on the deductibility of interest costs and the impact of the corporate interest restriction.

Based on our analysis, we recommended a structure that balanced tax efficiency with commercial practicality. We prepared a memorandum setting out the analysis and conclusions, which the developer retained for their records.

We also provided ongoing advice during the development, assisting with tax aspects of construction contracts, sales arrangements, and profit extraction.
