Healthcare Group Reorganisation

Corporate Tax | Group Restructuring

A healthcare group underwent a major reorganisation to prepare for a potential external investment or exit.

The group operated multiple clinics through a complex structure that had evolved over many years as the business grew through organic expansion and acquisitions.

The existing structure had several problems:

  • Multiple shareholders held shares at different levels of the group, making decision-making complicated and any future transaction difficult to execute.
  • Some subsidiaries were partially owned, creating minority interest issues.
  • The intellectual property and brand were not held in a dedicated entity, creating risk and reducing value.
  • Historic intercompany arrangements were out of date and potentially created transfer pricing risks.

The proposed reorganisation involved:

  • Creating a new top-level holding company that would be the single point of ownership for all investors.
  • Executing a series of share-for-share exchanges to bring all existing shareholders into the new holding company structure.
  • Acquiring minority interests to achieve 100% ownership of all operating subsidiaries.
  • Transferring the intellectual property and brand to a dedicated IP holding company with appropriate licensing arrangements.
  • Updating all intercompany arrangements to reflect arm's length pricing.

Each step of the reorganisation required careful tax analysis:

  • The share-for-share exchanges needed to qualify for relief under section 135 TCGA 1992 to avoid crystallising gains for the existing shareholders.
  • The acquisition of minority interests needed to be structured to minimise the tax cost for both the group and the selling minority shareholders.
  • The IP transfer needed to be executed at market value to establish a proper base cost, while considering the availability of reliefs to defer any gain.
  • The updated intercompany arrangements needed to be documented properly and supported by transfer pricing analysis.

We prepared a detailed implementation plan setting out each step, the tax analysis, and the documentation required.

We worked closely with the company's corporate lawyers to prepare the necessary legal documents, including new articles of association, share exchange agreements, and IP transfer agreements.

The reorganisation was implemented over a period of six months, with regular progress meetings to ensure coordination between all advisers.
