Corporate Retreat Business
Corporate Tax | Business Structuring
A business offering high-end corporate retreats sought advice on structuring its operations.
The business operated luxury venues and provided retreat packages to corporate clients, including accommodation, catering, activities, and facilitation services.
The founders were planning international expansion and wanted to ensure the structure was fit for purpose.
The business model presented several interesting tax questions:
The Revenue Mix: The business derived revenue from multiple sources - accommodation, food and beverage, activity fees, and facilitation services. Each of these has different VAT treatment, requiring careful analysis and apportionment.
International Operations: The founders planned to operate venues in multiple countries. This raised questions about corporate structure (separate subsidiaries vs branches), transfer pricing (pricing of intercompany services), and withholding taxes (on payments between entities).
Property vs Operations: The venues were valuable assets. There was a question about whether the property should be held in the same entity as the operating business, or whether a property holding company should be established.
Employment: Staff worked at the venues but also travelled between locations. The employment tax treatment of internationally mobile employees needed consideration.
We advised on a structure that addressed these issues:
We recommended establishing a UK parent company with separate subsidiaries for each operating jurisdiction. This would allow local management of each venue while maintaining central control and facilitating repatriation of profits.
We designed an intercompany services agreement under which the UK parent would provide central services (marketing, booking systems, brand management) to the subsidiaries in return for a fee. The pricing was established on an arm's length basis with supporting transfer pricing documentation.
We advised on establishing a separate property holding company for UK properties, providing asset protection and flexibility for future financing.
We analysed the VAT treatment of the various revenue streams, identifying opportunities to reduce the VAT cost through careful structuring of packages.
We advised on the employment tax treatment of staff who worked across multiple venues, including the application of social security treaties and the treatment of travel and subsistence expenses.
Outcome
Comprehensive corporate structure implemented with UK parent and international subsidiaries.
Property holding company established.
Transfer pricing documentation prepared.
VAT position optimised.
Structure positioned for planned international expansion.
